Terms & Conditions of Service
1. Definitions
“TrojanTrack”, “we”, “our”, “us” – TrojanTrack Limited, company registered in Ireland (CRO 709200) with registered office at The NEIC, Irish National Stud & Gardens, Tully, Co. Kildare, R51 DD56, Ireland.
“Service” – The TrojanTrack smartphone application, web portal, APIs, dashboards, reports and any related support, content or documentation.
“User”, “you”, “your” – The person or legal entity that creates an account or otherwise uses the Service (including trainers, vets, yard staff, owners or other authorised personnel).
“Horse Profile” – A digital record you create in the Service for an individual horse, including video files, movement data, pedigree data and notes.
“Agreement” – These Terms & Conditions together with any written order form, click-through subscription, statement of work or price quotation executed between you and TrojanTrack (collectively “Customer Contract”).
“Data” – All information uploaded to or generated by the Service, including videos, movement analytics, pedigree data, metadata and usage logs.
2. Agreement
By creating an account, paying an invoice or otherwise using the Service you acknowledge that you have read, understood and agree to be bound by this Agreement. If you are entering into this Agreement on behalf of a company or other entity, you represent that you have authority to bind that entity.
These Terms govern worldwide use of the Service. Certain local consumer or animal-welfare laws may also apply; where such laws grant mandatory rights that conflict with this Agreement, those rights prevail only to the limited extent of the conflict.
3. The Service
TrojanTrack enables Users to record smartphone video of a horse walking or trotting and converts that footage into biomechanical movement analytics. The Service is not a diagnostic tool and does not constitute veterinary advice. It provides indications of possible gait irregularities to support – not replace – professional judgment. You remain solely responsible for consulting a qualified veterinarian before making training, treatment or competition decisions.
4. Devices & Technical Environment
The Service requires a smartphone (or other device) and operating-system version that meets the minimum technical specifications published on our website or in the application store. Performance is not guaranteed on unsupported devices. You are responsible for supplying and maintaining compliant hardware, operating systems, connectivity and any third-party licences.
5. Subscriptions, Pricing & Invoicing
Pricing. Subscription fees are those expressly agreed in the Customer Contract (typically a per-horse, per-month amount).
Billing. Invoices issue monthly in arrears or as otherwise specified in the Customer Contract and are payable within 30 days of invoice date. Fees are exclusive of all applicable taxes, which you shall pay in addition.
Failure to Pay. If any undisputed invoice remains unpaid 15 days past due we may, after giving at least 5 days’ prior notice by email:
suspend access to the Service (including report generation);
charge interest at 8% p.a. above the European Central Bank base rate from due date until paid; and
recover reasonable costs of collection (including legal fees).
6. Technical Support
Standard technical support (configuration, usage issues, error reporting) is available to the account administrator by e-mail at support@trojantrack.ie Monday – Friday, 09:00–17:00 (Europe/Dublin), excluding Irish public holidays.
Support does not include on-site visits, data-capture training or hardware troubleshooting unless separately agreed.
7. User Responsibilities
Upload only videos and information for which you have obtained all necessary consents (from horse owners, staff, riders, etc.).
Ensure that recording conditions are safe and comply with applicable animal-welfare laws.
Keep login credentials secure and notify us immediately of unauthorised use.
Do not reverse-engineer, de-compile or resell the Service, nor interfere with its operation or security.
Recordings must not contain video of children under 16 without verifiable parental consent.)
8. Intellectual Property & Licence
All software, algorithms, reports, trade marks and other IP in the Service remain the exclusive property of TrojanTrack or its licensors. Subject to payment of fees we grant you a non-exclusive, non-transferable, worldwide licence to access and use the Service for your internal equine-management purposes during the subscription term.
You grant TrojanTrack a limited licence to process Data for the purposes of providing and improving the Service in accordance with Section 7 (Data).
9. Data, Anonymisation & Future Product Development
Storage & Retention.
Raw video files and Horse Profile data are stored in encrypted form on EU-based AWS servers
If you delete a Horse Profile because the horse has left your yard, the full profile (incl. video) is retained for 30 days in case of accidental deletion, after which the profile is irrevocably deleted.
Movement data derived from the videos is permanently de-identified (horse and yard identifiers removed) and may be retained indefinitely for R&D and product-improvement purposes.
Transfer Between Yards.
Where a horse is transferred to another yard or User, no historical data will be shared with the new yard unless both the releasing and receiving parties provide written consent within the Service.
Anonymised & Aggregated Use.
We may collate and aggregate anonymised movement data (and associated pedigree data) to produce industry reports, benchmarking tools or new analytical products.
No individual horse, yard or owner will be identified in such outputs without your prior written consent.
Privacy & Security.
Personal data is processed in accordance with our Privacy Policy (GDPR-compliant). We implement technical and organisational measures in line with ISO/IEC 27001 principles to protect Data against loss, misuse or unauthorised access.
10. Confidentiality
Each Party may receive non-public business, technical or strategic information ('Confidential Information') from the other. The receiving Party will:
1. keep it confidential with the same degree of care used to protect its own confidential information (never less than reasonable care);
2. use it solely for performing or receiving the Service; and
3. disclose it only to employees, advisers or contractors who have a need to know and are bound by equivalent confidentiality obligations.
11. Warranty Disclaimer
TrojanTrack warrants that it will provide the Service with reasonable skill and care. Except for this limited warranty, the Service is provided “as is” and “as available”, and TrojanTrack expressly disclaims all other warranties, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy or non‑infringement.
12. Limitation of Liability
To the maximum extent permitted by law:
TrojanTrack’s aggregate liability under this Agreement (whether in contract, tort or otherwise) shall not exceed the total fees paid by you to TrojanTrack in the 12 months preceding the claim.
TrojanTrack shall not be liable for indirect, special or consequential loss, loss of profit, goodwill, data or for injury or death of a horse, save where such limitation is prohibited by mandatory law.
13. Indemnity
TrojanTrack will defend and indemnify you against third-party claims that the unmodified Service infringes an EU patent, copyright or trade‑mark, provided you (a) promptly notify us of the claim, (b) allow us sole control of the defence and settlement, and (c) cooperate with us. If an infringement claim arises, TrojanTrack may at its expense (i) procure your continued right to use, (ii) modify or replace the Service, or (iii) terminate the Agreement with a pro‑rata refund of prepaid fees.
14. Force Majeure
Neither Party is liable for delay or failure to perform caused by events beyond its reasonable control, including but not limited to natural disasters, epidemic, war, terrorism, civil unrest, labour disputes, government action, utility or internet failures, or third‑party service interruptions ('Force Majeure').
15. Data Protection
TrojanTrack acts as data controller for account, billing and support data, and as joint controller with the Customer for horse‑related video and biomechanical data. Details of processing, user rights and our Data‑Processing Addendum are set out in the Privacy Policy.
16. Changes to the Service or Terms
We may update these Terms to reflect changes in law or the Service. We will give at least 30 days’ notice via email or in-app message. Continued use after the effective date constitutes acceptance30‑day advance notice of any material reduction in functionality or increase in base Subscription price.)
17. Assignment
You may not assign or transfer this Agreement (by merger, sale of assets, operation of law or otherwise) without TrojanTrack’s prior written consent. TrojanTrack may assign the Agreement to an affiliate or in connection with a merger, acquisition or sale of substantially all of its assets with written notice to you.
18. Export & Local Compliance
You are responsible for compliance with local laws and regulations applicable to your use of the Service outside Ireland, including export controls and animal-welfare statutes.
19. Severability
This Agreement constitutes the entire agreement between the parties regarding the Service and supersedes all prior understandings. If any provision is held unenforceable, the remaining provisions will remain in effect.
20. Electronic Signatures
Electronic acceptance (click‑wrap, e‑signature or other digital execution) constitutes a legally binding signature by the Party or individual accepting and, where applicable, represents that such individual has authority to bind the entity on whose behalf they act.
21. Governing Law & Dispute Resolution
This Agreement and any disputes arising out of or in connection with it are governed by Irish law. The courts of Ireland have exclusive jurisdiction. Nothing prevents either party from seeking urgent injunctive relief in any competent court.
